Weave Communications, Inc. has agreed to be acquired by Francisco Partners in an all-cash transaction valued at an aggregate equity valuation of approximately $650M, a deal that would take the healthcare software company private.
Under the definitive agreement, Weave stockholders will receive $7.40 per share in cash. The company said that represents an approximate 34% premium over its unaffected closing stock price on August 17, 2026.
If the transaction is completed, Weave will delist from the New York Stock Exchange and become a private entity. The deal is expected to close in the fourth quarter of 2026, subject to stockholder and regulatory approvals.
Focus on AI and practice operations
Weave said it serves more than 40,000 customer locations across independent and small-to-medium-sized healthcare practices. The company combines agentic AI workflows with practice management system integrations to automate scheduling, communication, insurance verification, and payments.
The company said moving from the public market to private ownership would give it more capital flexibility to pursue long-term AI investments without quarterly public earnings pressure.
Weave also said it plans to continue operating under the Weave brand name and keep its corporate headquarters in Lehi, Utah. Following the anticipated close, the company said it will continue to operate under the leadership of CEO Brett White.
Among the areas highlighted by the company are deeper investment in voice and conversational AI agents to automate patient intake, verify insurance eligibility, and streamline patient billing collections, as well as expanded embedded merchant processing and point-of-service billing tools.
